Terms of Agreement and Consent for Virtual Care

By continuing care with CaliberMD, PLLC and CaliberMD (“the Practice”), you acknowledge the terms below. The signed Terms of Membership Agreement completed during onboarding governs all financial, billing, renewal, and cancellation obligations and takes precedence over this consent in those areas.

1. Services & Scope

CaliberMD, PLLC provides concierge virtual care: telehealth consultations with licensed clinicians, care management, hormone optimization and metabolic health guidance, secure messaging, and access to wellness education. Membership does not include outside labs, imaging, prescriptions, procedures, or third-party services, which may incur separate fees. Membership is not insurance based, is not a substitute for primary care, and is not for emergencies.

2. Membership Term

Membership is a minimum 6-month commitment beginning on the date of first payment. You remain financially responsible for the full term regardless of utilization. Full billing, payment plan, and cancellation terms are governed by the signed Terms of Membership Agreement.

3. Payment & Insurance

The Practice does not verify or bill insurance. Members may submit charges for reimbursement on their own behalf. Members must disclose Medicare or Medicaid coverage, as the Practice cannot universally provide care to these beneficiaries unless the clinician is opted-out. A superbill is available upon request however most insurances do not cover for membership access or allied health offerings.

4. Telehealth Consent & Risks

You consent to receiving diagnosis, treatment, follow-up, education, and care management via telehealth with clinicians licensed in your state. You acknowledge that:

  • Telehealth carries risks including technical failures, privacy limitations, and incomplete physical assessment.

  • In-person care may be recommended when clinically necessary.

  • Telehealth encounters become part of your medical record.

  • You or the Practice may discontinue telehealth if it is deemed not beneficial.

  • You may withdraw telehealth consent at any time without affecting your right to future care; withdrawal does not dissolve financial obligations.

  • You are responsible for ensuring privacy at your location and securing your devices.

5. Shared Decision-Making

CaliberMD, PLLC  follows an evidence-informed, shared decision-making model. Clinicians review options, risks, benefits, and alternatives with you. You agree to provide accurate health information, ask questions, and notify the Practice of any changes in your condition. Medical treatment, including hormone therapy and metabolic support, carries inherent uncertainties and outcomes cannot be guaranteed. You will not hold the Practice liable for adverse outcomes arising from incomplete information, failure to follow guidance, delays in seeking emergent in-person care, or natural variability of medical response.

6. Privacy & PHI (HIPAA)Your PHI may be used or disclosed for treatment, payment, and healthcare operations consistent with HIPAA and applicable law. PHI may be disclosed without consent only where required by law, including mandated reporting of abuse, neglect, or

imminent harm. The Practice is a mandated reporter under Virginia law for suspected child abuse or maltreatment.

7. Technology & SMS Communication

Approved platforms include Hint Clinical EMR, telehealth tools, Calendly and Zoom. Text and email are not fully HIPAA secure; you are responsible for safeguarding credentials and private communications. SMS messages (appointment reminders, prescription updates, care related communications) will not contain PHI; message and data rates may apply, and carriers are not liable for delayed or undelivered messages. Reply STOP to opt out or HELP for assistance. The Practice does not share SMS opt-in data with third parties unrelated to care delivery.

8. Early Cancellation

Early cancellation is generally not permitted. If you request early termination due to dispute or dissatisfaction, the Practice will attempt to reconcile fees against standard consultation rates, as acknowledged in Terms of Membership Agreement. After reconciliation, you may be released from remaining financial obligations.

9. Emergencies & Legal Terms

Virtual care is not for emergencies. In a medical emergency, call 911 or go to the nearest emergency department. This Agreement is governed by the laws of the State of Virginia. Disputes are resolved through binding arbitration; you waive rights to a jury trial and to class actions. If any provision is found unenforceable, the remainder remains valid. No results

from care can be guaranteed.

10. Acknowledgment

By continuing services, you confirm you understand and agree to these terms and acknowledge that the signed Terms of Membership Agreement governs your full membership and financial obligations.
